Terms of Service

Welcome to Shore Communication Technologies LLC (“ShoreComTech,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website at shorecomtech.com (the “Site”) and any related services, including but not limited to IT support, cloud phone and communications solutions, network security, business continuity, and managed services (together, the “Services”). By accessing or using the Site or Services, you agree to be bound by these Terms.
1. Definitions
Client, you, or your: Any individual or entity that registers for, subscribes to, or uses our Services.
Account: Your user profile on the Site, including login credentials, used to request or manage Services.
Documentation: Any manuals, guides, instructions, or specifications provided by ShoreComTech in connection with the Services.
Confidential Information: Non-public information disclosed by one party to the other, including trade secrets, business plans, technical designs, and customer data.
2. Services and Deliverables
ShoreComTech will provide the Services described in an agreed Statement of Work, Service Level Agreement, or purchase order.
All Services are provided on a non-exclusive, non-transferable basis.
We may engage subcontractors, affiliates, or third-party vendors to fulfill portions of the Services, while retaining responsibility for overall performance.
3. Account Registration and Use
You must register for an Account to access certain Services and provide accurate, current, and complete information.
You are responsible for maintaining the confidentiality of your Account credentials and for all activities under your Account.
You agree to notify us immediately of any unauthorized use of your Account or any other breach of security.
4. Fees, Billing, and Payment
Fees for Services are specified in our published rate sheets or your signed agreement.
Unless otherwise agreed in writing, ShoreComTech invoices monthly in arrears. Payment is due within 30 days of the invoice date.
Late payments incur interest at 1.5% per month (or the maximum legal rate), plus any collection costs.
We reserve the right to suspend or terminate Services for non-payment after providing 10 days’ written notice.
5. Term and Termination
Term: These Terms take effect on the Effective Date and continue until terminated as provided herein.
Termination for Convenience: Either party may terminate by providing 30 days’ written notice.
Termination for Cause: Either party may terminate immediately if the other party materially breaches these Terms and fails to cure within 15 days of written notice.
Upon termination:
You must pay all accrued fees through the termination date.
We will make available your data for 30 days to allow export; thereafter, we may delete such data.
6. Proprietary Rights and License
ShoreComTech and its licensors retain all right, title, and interest in and to the Services, Documentation, software, and any modifications or enhancements.
We grant you a limited, non-exclusive, non-transferable license to access and use the Services solely for your internal business purposes, in accordance with these Terms.
7. Confidentiality
Each party will protect the other’s Confidential Information with the same standard of care it uses for its own confidential information, but no less than reasonable care.
Confidential Information may only be used to perform obligations under these Terms and may not be disclosed to third parties without prior written consent, except as required by law.
8. Warranties and Disclaimers
Our Warranty: We warrant that we will perform Services in a professional and workmanlike manner consistent with industry standards.
Disclaimers: Except for the warranty above, all Services are provided “as is,” and ShoreComTech disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, even if advised of the possibility of such damages.
Our total aggregate liability under these Terms will not exceed the fees paid by you for the Services in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold ShoreComTech, its officers, directors, employees, and agents harmless from and against any third-party claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of or related to:
Your use of the Services in violation of these Terms or applicable law.
Your infringement or alleged infringement of any intellectual property or other rights of any person or entity.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of laws principles.
Any dispute arising under or related to these Terms will be resolved exclusively in the state or federal courts located in Accomack County, Virginia, and the parties consent to personal jurisdiction and venue therein.
12. Changes to Terms
We may modify these Terms at any time by posting an updated version on the Site with a new Effective Date. Your continued use of the Site or Services after such posting constitutes your acceptance of the updated Terms.
13. Entire Agreement
These Terms, along with any documents incorporated by reference (including statements of work and service level agreements), constitute the entire agreement between you and ShoreComTech regarding the Services and supersede all prior or contemporaneous understandings.
